By accessing or using the Archsapient platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including visitors, registered users, and premium subscribers.

2. Description of Service

Our platform provides technology and tools to facilitate:

  • Money intelligence insights powered by machine intelligence
  • Access to banking services provided by licensed partner institutions
  • Financial planning, monitoring, and reporting tools
  • Documentation generation and compliance tracking
  • Integration with legal and accounting service providers

Archsapient is a financial technology company, not a bank. Banking services, where offered, are provided by licensed and regulated banking partners, and applicable deposit insurance is provided through those partner institutions.

3. Eligibility and Account Registration

To use our Service, you must:

  • Be at least 18 years old and legally capable of entering contracts
  • Provide accurate, complete, and current registration information
  • Complete identity verification and comply with KYC requirements
  • Meet any applicable accredited investor or qualified purchaser standards
  • Maintain the confidentiality of your account credentials

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Permitted Use and Restrictions

You may use the Service only for lawful purposes. You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Transmit viruses, malware, or other harmful code
  • Interfere with or disrupt the Service or servers

5. Fees and Payment

Our fee structure includes:

  • Setup Fees: One-time charges for entity creation and initial setup
  • Monthly/Annual Fees: Ongoing platform access and maintenance
  • Transaction Fees: Charges for specific services or document generation
  • Third-Party Fees: Legal, accounting, and filing fees (passed through at cost)

All fees are non-refundable unless otherwise specified. We reserve the right to modify our fee structure with 30 days' notice.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by us and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not use our trademarks without our prior written consent.

7. Disclaimers and Limitations

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

9. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

10. Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users or third parties. Upon termination, your right to use the Service will cease immediately.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, United States. Any disputes arising from these Terms or your use of the Service shall be resolved through:

  • Good faith negotiations for 30 days
  • Binding arbitration if negotiations fail
  • Arbitration conducted under the rules of the American Arbitration Association
  • Jurisdiction in the state and federal courts located in Delaware for non-arbitrable matters

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be posted on our website and notified to active users. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.
